1. Services Provided

  • Graphic Design: Branding, logo design, print design, marketing collateral, and digital asset creation.
  • Web Development: Custom website building, WooCommerce setup, e-commerce integration, and web applications.
  • Website Maintenance: Ongoing security updates, bug fixes, site backups, and performance optimization.

2. Client Obligations & Asset Submission

To ensure timely project completion, you agree to:

  • Provide accurate project requirements, text content, logos, and necessary media files in a timely manner.
  • Respond promptly to requests for feedback, milestone approvals, or technical access.
  • Guarantee that all content, logos, and materials provided to Winmoy LLC for use in your project do not infringe upon any third-party copyright or legal trademark.

3. Project Timelines & Revisions

  • Timelines: Estimated delivery dates provided during project kick-off are dependent on prompt communication and feedback from the client.
  • Revisions: Specific revision rounds are outlined in your individual project scope or proposal. Revisions beyond the agreed scope or structural changes made after layout approval may incur additional fees at our standard hourly rate.

4. Intellectual Property & Ownership

  • Design & Vector Files: Upon final payment receipt, full copyright and legal ownership of final custom graphic assets (including vector source files like AI, EPS, PSD, PDF) are transferred to the client.
  • Pre-Existing Code & Frameworks: Open-source software, third-party WordPress plugins, and core open frameworks remain licensed under their respective copyright owners.
  • Portfolio Rights: Winmoy LLC retains the non-exclusive right to showcase completed non-confidential visual designs, portfolio images, and case studies on our website and official marketing channels unless explicitly restricted by a signed Non-Disclosure Agreement (NDA).

5. Payment Terms & Cancellations

  • Payment Schedules: Unless agreed otherwise in writing, projects require an upfront deposit prior to work commencement, with the remaining balance due upon final milestone approval before live site deployment or final source file delivery.
  • Website Maintenance Plans: Recurring maintenance services are billed automatically on a monthly or annual cycle. Cancellation requests must be submitted at least 7 business days prior to the next billing date.
  • Refunds: Due to the custom nature of creative and technical engineering work, payments made for completed milestones, approved designs, or active maintenance periods are non-refundable.

6. Limitation of Liability

  • Winmoy LLC strives to maintain maximum website uptime, clean code standards, and secure deployment. However:

    • We are not liable for business interruptions, lost revenue, or site vulnerabilities caused by third-party hosting failures, unauthorized external hacking attempts, or client modifications made to source code after handoff.
    • Our total liability under any circumstances shall not exceed the total fees paid by the client to Winmoy LLC for the specific project in question.

7. Governing Law & Jurisdiction

  • These Terms of Service and any separate agreements shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.
